Terms & Conditions

Effective Date: July 18, 2026
Last Updated: July 18, 2026

1. Agreement to Terms

These Terms & Conditions ("Terms") form a binding agreement between Saticoy ("Saticoy," "we," "us," or "our") and the person or entity accessing the website at saticoy.ai (the "Site") or using our brand knowledge platform and related services (together, the "Services").

By accessing the Site, creating an account, signing an order form, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

If you accept these Terms on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" and "Customer" refer to that organization.

Where you and Saticoy have signed a separate master services agreement, order form, or statement of work, that document controls to the extent it conflicts with these Terms.

2. Definitions

  • "Customer Content" means documents, product information, messaging, brand assets, data, and other materials that you or your users upload, connect, or otherwise submit to the Services.
  • "Knowledge Layer" means the structured, organized representation of Customer Content generated by the Services.
  • "Output" means content, analysis, recommendations, summaries, definitions, or other material generated by the Services, including by AI systems, based on Customer Content or other inputs.
  • "Managed Services" means white-glove services we may perform for you, including content creation and distribution across social media, public relations, sales enablement, and marketing channels.
  • "Order Form" means an ordering document or online sign-up flow specifying the subscription, fees, and term.

3. Eligibility and Accounts

The Services are intended for business use by individuals aged 18 or over. You are responsible for the accuracy of the registration information you provide, for maintaining the confidentiality of your credentials, and for all activity that occurs under your account. Notify us promptly through our Contact page if you suspect unauthorized access.

You are responsible for your users' compliance with these Terms, and for ensuring that anyone you authorize to access your workspace is permitted to do so.

4. Subscriptions, Fees, and Payment

  • Access to the Services is provided on a subscription or engagement basis as set out in the applicable Order Form.
  • Fees are stated in USD and are due as specified in the Order Form or, absent a specification, within 30 days of invoice.
  • Unless otherwise stated, subscriptions renew automatically for successive periods equal to the initial term unless either party gives written notice of non-renewal at least 30 days before the end of the then-current term.
  • We may adjust fees at renewal on at least 30 days' notice.
  • Fees are exclusive of taxes, duties, and withholdings, which are your responsibility other than taxes on our net income.
  • Except where required by law, fees are non-refundable and payments are not offsettable against amounts you believe are owed to you.
  • Overdue amounts may accrue interest at 1.5% per month or the maximum permitted by law, and we may suspend the Services after 10 days' notice of non-payment.

5. Free Trials, Pilots, and Beta Features

We may offer trials, pilots, or features designated as beta, preview, or early access. These are provided as-is, without warranty or support commitment, may be modified or discontinued at any time, and are excluded from any service level commitment. We may set usage limits on trials and convert or terminate them at the end of the trial period.

6. Customer Content and License Grants

Your ownership. As between you and Saticoy, you retain all right, title, and interest in Customer Content.

License to us. You grant us a non-exclusive, worldwide, royalty-free license to host, store, copy, transmit, process, analyze, structure, display, and create derivative works from Customer Content solely to provide, maintain, secure, and improve the Services for you and to perform Managed Services you request. Where we perform Managed Services, this license extends to publishing and distributing content on the channels you designate.

Your responsibility. You represent and warrant that you own or have the necessary rights to Customer Content, that its submission and our processing of it do not violate any law or third-party right, and that you have provided any notices and obtained any consents required for personal information contained in it.

Aggregated data. We may generate aggregated and de-identified data from use of the Services and use it to operate, analyze, and improve our products. Such data will not identify you, your users, or your Customer Content.

AI training. We do not use Customer Content to train publicly available third-party foundation models.

7. Output, Accuracy, and No Guarantee of Results

The Services rely on artificial intelligence and third-party language models. You acknowledge and agree that:

  • Output may be inaccurate, incomplete, outdated, biased, or inconsistent, and may not reflect your actual positioning or product truth. You are responsible for reviewing and verifying Output before relying on or publishing it.
  • Output is not legal, financial, medical, or other professional advice.
  • Given the nature of generative systems, Output may be similar or identical to output generated for other customers. We make no claim of exclusivity in Output.
  • We do not guarantee any particular result — including that your brand will appear, rank, or be described in any specific way in any AI assistant, search engine, generative answer, or third-party platform. Those systems are controlled by third parties whose behavior, models, and policies change without notice and are outside our control.

Subject to your compliance with these Terms and payment of applicable fees, as between the parties you own the Output generated for you, to the extent such Output is capable of ownership under applicable law. Ownership of AI-generated material is unsettled in many jurisdictions and we make no representation that Output is protectable.

8. Acceptable Use

You may not, and may not permit anyone else to:

  • use the Services in violation of any law, regulation, or third-party right;
  • upload content that is unlawful, defamatory, infringing, obscene, or that contains malware;
  • submit personal data of a special or sensitive category, protected health information, payment card data, or government identifiers, except where expressly agreed in writing;
  • generate or distribute content that is deceptive, fraudulent, impersonates another person or brand, or is designed to manipulate search or AI systems through deceptive means;
  • reverse engineer, decompile, or attempt to derive the source code, models, or underlying structure of the Services;
  • access the Services to build a competing product, or benchmark the Services for publication without our written consent;
  • scrape, crawl, or use automated means to access the Services outside documented interfaces, or exceed rate limits;
  • probe, scan, or test the vulnerability of our systems, or circumvent authentication or security measures;
  • resell, sublicense, or provide the Services to third parties except as expressly permitted; or
  • remove or obscure proprietary notices.

We may investigate suspected violations and suspend access where necessary to protect the Services, our other customers, or third parties. Where practicable, we will give notice first.

9. Managed Services

Where you engage us for Managed Services, the scope, deliverables, timelines, and fees will be set out in a statement of work. You will provide timely access to the accounts, channels, brand guidelines, and approvals we need. You remain responsible for the accuracy of the underlying claims you ask us to communicate and for compliance with advertising, disclosure, and industry-specific rules applicable to your business. We will follow your documented approval process before publishing on your behalf; absent such a process, materials will be deemed approved if you do not object within 5 business days of submission.

10. Third-Party Services

The Services may integrate with third-party platforms, models, and channels. Your use of those services is governed by their terms, and we are not responsible for their availability, performance, changes, or acts and omissions. If a third-party service becomes unavailable or changes materially, we may modify or discontinue the related functionality.

11. Intellectual Property

The Services, including all software, models, methodologies, templates, documentation, and branding, are owned by Saticoy or our licensors and protected by intellectual property law. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services during the term, solely for your internal business purposes. All rights not expressly granted are reserved.

12. Feedback

If you provide suggestions or feedback about the Services, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use it without restriction or obligation to you.

13. Confidentiality

Each party may receive non-public information of the other that is designated confidential or that a reasonable person would understand to be confidential. The receiving party will use it only to perform under these Terms, protect it with at least reasonable care, and disclose it only to personnel and advisors bound by comparable obligations. These obligations do not apply to information that is public through no fault of the receiving party, independently developed, or rightfully received from a third party, and do not prevent disclosure required by law provided the disclosing party is given reasonable prior notice where permitted.

14. Data Protection

Each party will comply with applicable data protection law. Our handling of personal information as a controller is described in our Privacy Policy at https://www.saticoy.ai/legal/privacy.

15. Term, Suspension, and Termination

These Terms apply from your first use of the Services until terminated. Either party may terminate a subscription for material breach that remains 30 days after written notice. We may suspend or terminate access immediately where required by law, where continued access poses a security or legal risk, or for non-payment as described in Section 4.

On termination: your right to access the Services ends; you must pay any amounts accrued through the termination date; and you may export Customer Content for 30 days, after which we may delete it in the ordinary course. Sections 6 (as to aggregated data), 7, 11, 12, 13, 16, 17, 18, 19, and 20 survive.

16. Disclaimer of Warranties

To the maximum extent permitted by law, the Services, Output, and all related materials are provided "as is" and "as available," without warranty of any kind. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing or trade usage. We do not warrant that the Services will be uninterrupted, error-free, or secure, that defects will be corrected, or that Output will be accurate or fit for your purposes.

Some jurisdictions do not allow the exclusion of implied warranties, so some of these exclusions may not apply to you. Nothing in these Terms limits any non-waivable statutory right you may have as a consumer.

17. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, lost goodwill, or business interruption, even if advised of the possibility.

Each party's total aggregate liability arising out of or relating to these Terms will not exceed the greater of (a) the fees paid or payable by you to Saticoy in the twelve (12) months preceding the event giving rise to the claim, or (b) USD 100.

These limitations do not apply to: your payment obligations; either party's indemnification obligations; breach of confidentiality; your breach of Section 8; or liability that cannot be limited by law, including death or personal injury caused by negligence, and fraud or fraudulent misrepresentation.

18. Indemnification

By you. You will defend, indemnify, and hold harmless Saticoy and our officers, employees, and agents from third-party claims arising out of Customer Content, your use of the Services or Output, your breach of these Terms, or your violation of law or third-party rights.

By us. We will defend you against third-party claims alleging that the Services, as provided by us and used in accordance with these Terms, infringe that third party's intellectual property rights, and will pay damages finally awarded or agreed in settlement. This obligation does not apply to claims arising from Customer Content, Output, combination with materials not supplied by us, or modifications not made by us. If the Services become subject to such a claim, we may procure the right to continue use, modify the Services, or terminate the affected subscription with a pro-rata refund.

The indemnified party must give prompt notice, allow the indemnifying party to control the defense, and provide reasonable cooperation.

19. Governing Law and Disputes

The parties will attempt in good faith to resolve any dispute through discussion for 30 days. If unresolved, the dispute will be subject to the exclusive jurisdiction of the courts of California, and each party consents to that jurisdiction.

Nothing in this section prevents either party from seeking urgent injunctive relief in any court of competent jurisdiction.

20. General

  • Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, excluding payment obligations.
  • Assignment. You may not assign these Terms without our written consent, except to a successor in a merger or sale of substantially all assets. We may assign freely.
  • Notices. Notices to you may be sent to the email on your account; notices to us should be sent through our Contact page.
  • Export and sanctions. You represent that you are not located in, or a national of, a country subject to comprehensive sanctions, and are not on any restricted-party list.
  • Publicity. We may identify you as a customer by name and logo on our website and in marketing materials unless you tell us not to through our Contact page.
  • No waiver. Failure to enforce a provision is not a waiver of it.
  • Severability. If a provision is held unenforceable, the rest remains in effect and the provision will be modified to the minimum extent necessary.
  • Independent contractors. The parties are independent contractors; nothing creates a partnership, agency, or employment relationship.
  • Entire agreement. These Terms, together with any Order Form, DPA, and statement of work, are the entire agreement and supersede prior discussions.

21. Changes to These Terms

We may modify these Terms. We will post the updated version with a new "Last Updated" date, and where changes are material, provide at least 30 days' notice by email or in-product before they take effect. Changes apply to renewals and to continued use after the effective date. If you object to a material change, you may terminate before it takes effect.
